Vendor Agreement
The terms governing brands and sellers using DealyDally. By submitting an application or accepting approval, you agree to all of the below.
1. The relationship
DealyDally is the merchant of record on every order placed on the platform. Buyers pay DealyDally, not you. DealyDally allocates funds to vendors and members per the configured economics on each product, holds those funds for a payout window, and transfers your share to your connected Stripe account.
You are an independent business listing into DealyDally’s commerce network. This Agreement does not create an employment, agency, partnership, or franchise relationship.
2. Product economics — you decide
For every product you list, you set the per-product reward pool (0–100%), the buyer discount band (min/max %), the member earn band (min/max %), the platform minimum fee, the version-creation policy, and perk permissions. DealyDally does not impose hard caps on your allocation choices, but reserves the right to flag products with unusual economics for additional review.
“100% reward pool” means 100% configurable allocation layer — not 100% profit margin. Shipping, taxes, fulfillment costs, and product cost-of-goods are your responsibility outside the allocation pool.
3. Payouts
DealyDally collects buyer payment, holds vendor allocation in escrow for a default 7-day window from order date (configurable per brand later, may be re-anchored to delivery confirmation when shipping integration ships), then releases the balance to your Stripe Connect account on request via the Withdraw flow at /brand/payouts.
Payouts in “PENDING” status are not yet released and may be clawed back at no notice if the underlying order is refunded or charged back. Payouts that have moved to “PAID” cannot be clawed back unilaterally — DealyDally may invoice the vendor for amounts owed against future payouts.
4. Refunds + chargebacks
If a buyer initiates a refund or successful chargeback before vendor allocation has been released to your Stripe account, that allocation is automatically clawed back to DealyDally. You retain no claim on those funds.
DealyDally may set platform-wide refund policies (currently: 30 days for physical goods at platform discretion). You may set tighter policies on your end provided they comply with consumer law in the buyer’s jurisdiction.
5. Tax + 1099
DealyDally collects sales tax via Stripe Tax based on buyer location. Sales tax is remitted to the relevant jurisdictions; it is not included in your vendor allocation.
DealyDally will issue applicable IRS Form 1099-K to U.S. vendors who exceed the threshold for the calendar year, with figures derived from your paid-out earnings. You are responsible for your own income tax obligations and any non-U.S. equivalents.
6. Prohibited products
You may not list products that are illegal in the buyer’s or seller’s jurisdiction; that infringe IP rights you don’t hold; that promote violence, hate, sexual content involving minors, or self-harm; that misrepresent material facts about the product; or that violate Stripe’s Restricted Businesses list.
DealyDally may remove any listing at any time for any reason. Repeat violations may result in account termination and forfeiture of pending allocations.
7. Fraud + reserves
DealyDally reserves the right to hold funds, set rolling reserves on individual brand accounts, or pause payouts entirely if we detect fraud signals, abnormal refund rates, or open chargeback investigations. We will notify you in writing of any reserve action and the reasons for it.
8. Termination
Either party may terminate this Agreement at any time. On termination, in-flight orders are honored (vendor allocations release per the standard schedule unless refunded), product listings are removed within 24 hours, and your storefront URL stops serving traffic.
9. Limitation of liability
To the maximum extent permitted by law, DealyDally’s aggregate liability under this Agreement is limited to the platform fees we collected from your sales over the trailing 12 months. We are not liable for indirect, consequential, or incidental damages.
10. Changes
DealyDally may update this Agreement. Material changes (anything affecting payouts, allocations, or termination terms) will be notified by email and you will be re-prompted to accept the new version on your next sign-in. Continuing to operate after notification constitutes acceptance.
